The offer and sale of products with the brands "Superdry" or the like (the "Products"), marketed distributed and/or sold by Reviva Technology Proprietary Limited, registration number 2004/004006/07 of 160 Gunners Circle, Epping Industria, Cape Town, South Africa (“Seller”) as the exclusive distributor of the Products for and on behalf of DKH Retail Limited of Unit 60, The Runnings, Cheltenham, Gloucestershire, GL51 9NW, United Kingdom, Company number 07063508 (“SuperdryPrincipal”), through the superdry.co.za website (the "Site") are governed by these general terms and conditions ("Terms and Conditions").

The Business Policy Of The Seller

The Seller offers products for sale on the Site and provides its e-commerce services exclusively to end users who qualify as “consumers” (hereinafter referred to as “Buyers”, each individually a “Buyer”).

A consumer is any individual acting for purposes outside trade, business, or professional activity. Conversely, a professional is any individual acting for purposes related to trade, business, or professional activity. If a potential Buyer does not qualify as a consumer but instead qualifies as a professional, they are advised not to enter into transactions on the Site.

In line with its commercial policy, the Seller reserves the right not to process orders from Buyers who are not consumers or any orders that do not comply with its trade policy.

These Terms and Conditions govern the relationship between each Buyer and the Seller regarding the offer, submission, and acceptance of purchase orders for products through the Site.

These Terms do not cover the supply of products or services provided by third parties displayed on the Site via links, banners, or other hypertext references. Before purchasing products or services from third parties, Buyers should carefully review the terms and conditions applicable to those third-party transactions. The Seller is not liable for the supply of products or services provided by third parties, or for any transactions executed between Buyers and third parties.

How To Enter Into A Contract With The Seller

Orders cannot be placed by minors or individuals lacking legal capacity. To purchase one or more products on the Site (the “Contract”), the Buyer completes an electronic Order Form and submits it to the Seller following the on-screen instructions.

Before submitting the Order Form, the Buyer will be prompted to:

  • Carefully read the Terms and Conditions, including the Returns Policy.
  • Review key commercial and contractual information
  • Understand the main characteristics of each product, the price in ZAR (inclusive of all taxes and fees), and applicable shipping costs.
  • Confirms to be fully aware of payment methods accepted.
  • Acknowledges the delivery options and estimated delivery dates.
  • Agrees to the procedures for complaints and exercising the right of return.
  • Assent to the circumstances in which the Buyer may terminate the Contract.

Please note that in-store returns for exchanges or refunds are not applicable to orders placed online.

The Order Form provides a summary of the products purchased, pricing (including taxes and fees), and shipping costs, including any additional charges for specific or expedited delivery. The Contract is considered concluded once the Buyer receives an Order Confirmation from the Seller electronically, following verification of the Order Form.

The Order Form will be stored in the Seller’s database for the time required to process the Order, in accordance with applicable law. Buyers can access their Order Form via the “My Order” section, if available.

Submitting the Order Form constitutes an obligation to pay the quoted price. Buyers are responsible for identifying and correcting any errors in personal data before submission, and it is recommended to print and keep a copy of the Order Form. English is the language of the Contract.

The Seller may refuse to process orders that:

  • Lack sufficient solvency guarantees.
  • Are incomplete or incorrect.
  • Contain products that are no longer available.

In such cases, the Seller will inform the Buyer by email, explaining why the Contract cannot be fulfilled. If products are unavailable after the Order Form is submitted and payment is received, the Seller will refund the amounts paid and terminate the Contract. No additional compensation will be provided.

By submitting an Order Form, the Buyer unconditionally accepts and agrees to the Terms and Conditions. If the Buyer does not agree to any term, they should refrain from submitting the Order Form. Submission also constitutes acknowledgment and acceptance of all other information on the Site, including links to:

  • Data Protection Policy
  • Cookie Policy
  • Returns Policy

Once the Contract is concluded, the Seller will send the Buyer an electronic Order Confirmation.

Purchase Price And Product Guarantee

Only original and new products are offered for sale on the Site. The Seller does not sell second-hand, non-conforming, flawed products, or products that fail to meet the quality standards of the corresponding market.

The Buyer acknowledges that the Seller is not the manufacturer of the products and does not provide any guarantee regarding the quality or suitability of the products. Accordingly, the Seller will have no liability for defective or faulty products, except as may be allowed under these Terms and Conditions and the Returns Policy.

The main characteristics of each product are displayed on its respective Product Page. Product images and colours may not perfectly match the actual products delivered due to factors beyond the Seller’s control, such as internet browsers or the device used by the Buyer. The Seller disclaims all responsibility in this regard, and the Buyer waives any claims related to such differences.

Product offers and prices are valid while visible on the Site and while stocks last. The Seller reserves the right to update the product catalogue or pricing at any time without prior notice. Changes may affect items already in the Buyer’s cart or orders not yet completed.

The Seller cannot accept purchase requests from countries not listed in the “Select your country” section of the Site.

Payment And Ownership Of Products

The Buyer may choose from the payment methods available on the Order Form or during the checkout process.

For credit or debit card payments, all financial information (e.g., card number and expiration date) is transmitted securely and encrypted to third-party payment providers. These third parties do not have access to this information beyond processing the payment. The Seller will only use this information to:

  • Fulfil the Buyer’s order.
  • Process refunds for returns in accordance with the Returns Policy.
  • Prevent or report fraud if necessary.

All personal data provided by the Buyer will be handled in accordance with the Seller’s Privacy Policy, Data Protection Policy, and Cookie Policy.

The purchase price of the products, including shipping costs indicated on the Order Form, will be charged to the Buyer’s account upon shipment.

Ownership of the products remains with the Seller until the purchase price has been paid in full.

Please note that voucher codes cannot be applied to promotion or sale items.

Product Shipping And Delivery

The Seller will deliver the products ordered to the Buyer via courier services.

Where an order is accepted, the Seller (or an authorised third party) will deliver the products as soon as reasonably possible, and no later than 30 (thirty) days from receipt of payment (Delivery Period). The Buyer will be notified if the Seller is unable to deliver within the Delivery Period.

Upon receiving such a notification, the Buyer may, within 7 (seven) days, choose to cancel the order. If the order is cancelled, the Seller will refund the full purchase price of the products.

The Seller’s delivery obligation is considered fulfilled once the products are delivered to the physical address provided by the Buyer.

If any products are missing from a delivery, the Buyer must notify the Seller in writing within 2 days of receiving the delivered items. Upon receiving the notification, the Seller will verify the claim against delivery records. If confirmed, the Seller will process and deliver the missing products as soon as reasonably possible.

Changes To These Terms And Conditions

The Seller may, at its sole discretion and without prior notice, update or modify these Terms and Conditions at any time. If the Buyer does not agree with any part of the Terms and Conditions, they are advised not to proceed with transactions on the Site.

Any changes will apply from the date they are displayed or published on the Site. Continued use of the Site after this date will be considered acceptance of the updated Terms and Conditions.

Electronic Communications

By transacting on the Site, you consent to receiving electronic communications from us or any member of the group of companies of which we form part and/or our partners in accordance with our "Privacy Policy" section.

Data Protection

For terms regulating data management and protection, please refer to our Privacy Policy and Cookie Policy which are incorporated herein by way of reference.

Limitation Of Liability

The use of the Site is entirely at the Buyer’s own risk and the Seller expressly disclaims and shall not be held liable liability for any damage, loss or expenses, whether direct, indirect or consequential in nature, arising out of or in connection with the Buyer’s access to or use of the Site and/or any content therein unless otherwise provided by law. The Seller shall not be liable for any direct, indirect, special or consequential damages which the Buyer may suffer from or arising out of any cause whatsoever and the Buyer hereby indemnifies the Seller from any claims for damages or losses arising from or linked in any way to the Buyer’s use of the Site.

Circumstances Beyond The Seller’s Control

The Seller shall not be liable to you for any breach or delay in the performance of a Contract or processing of an Order Form attributable to any cause beyond the Seller’s reasonable control, including without limitation any act of God or natural disaster and unavoidable incident, actions of third parties, riots, civil commotion, war, hostilities, warlike operations, national emergencies, terrorism, piracy, arrests, restraints or detainments of any competent authority, strikes or combinations or lock-out of workmen or the any cause similar to or having the same effect as the causes stated in this clause regardless of whether the circumstances in question could have been foreseen.

Governing Law and Jurisdiction

This Site is hosted, controlled and operated from the Republic of South Africa and therefore governed by South African law and the Buyer submits to the jurisdiction of the South African courts.
